AGC Partners Advises Open Channel Solutions in its Sale to CMGI

America's Growth Capital is pleased to announce that its client, Open Channel Solutions, Inc. (OCS), a global provider of entitlement and e-business management solutions, has signed a definitive agreement to be acquired by CMGI, Inc. (Nasdaq: CMGI), a provider of supply chain management solutions. OCS' solutions will enhance the services provided by CMGI, extending its e-commerce capabilities for digital content distribution. The combination of OCS and CMGI is designed to meet the high-tech market's need for a solution provider that can support both physical and electronic distribution requirements while managing the complexity of selling through traditional and electronic channels efficiently. The all-cash transaction is expected to close in the first quarter of 2008. With a team led by Ben Howe and Rudy Minar, America's acted as sole financial advisor to OCS.
